Offboarding Options
As the DevOps-as-as-Service agreement is pending termination, we want to make sure we hand over the cloud platforms and operations in a way that works for you. This document informs you of our offboarding options.
Alternatively, we also offer Keep-The-Lights-On managed service for workloads that are slowly winding down or are no longer being actively developed, and have stable or decreasing usage patterns.
Offboarding Project options
As the DevOps-as-a-Service nears its final moments, we want to ensure you have a clear and risk-free path forward. Depending on your specific needs and plans, we propose three different options for an Offboarding Project:
Minimal Offboarding Project
Perfect if you don’t want to take over operations, don’t need a handover or don’t need anything to help you maintain/operate the platform like Customer Platform Information. In a Minimal Offboarding we just cleanly remove all ties between Skyscrapers and your cloud environments.
What’s included
Unlinking: clean disconnection of Skyscrapers hooks, access, and integrations from the Customer’s environment, so your Platform(s) can run independently from us with no broken integrations or dangling references to Skyscrapers.
What’s not included
- No Offboarding Project
- No hand-over of Customer Platform Information
- Any form of training, decoupling assistance, or active handover support
- Fully functioning components. Some components need to be handed over to ensure continuity. Since this is not happening (see level 2) we give no guarantees that things keep on working and/or won’t break.

Extensions
If during the delivery of the Minimal Offboarding more time or custom work is needed, we are happy to accommodate this on a time & material basis.
Standard Offboarding Project
A well defined and well scoped offboarding with everything needed for your team (or new partner) to keep on reliably operating and maintaining the platforms in your cloud accounts, even with the ability to rebuild them. This includes everything from intellectual property (Customer Platform Information) to be able to do so, unlinking and knowledge transfer.
What’s included
- Unlinking: clean disconnection of Skyscrapers hooks, access, and integrations from the Customer’s environment and codebase, so your Platform(s) can run independently from us with no broken integrations or dangling references to Skyscrapers.
- Packaging and hand-over of Customer Platform Information, based on the Skyscrapers Platform Blueprint: A cleaned-up and most recent copy of everything needed, including the years of Skyscrapers expertise and any specific customisations, to further operate and even rebuild the Platforms Skyscrapers built and managed for you.
- Copy of the full GitHub repository: including all infrastructure-as-code, issues and documentation so you have the full history and all information built up during the cooperation.
- Knowledge transfer: in training sessions we explain how to run and maintain the Customer Platform Information. Meant for engineers with the right skills so that they can reliably take over day-to-day operations including deployments, monitoring, incident response basics. (max 4 hours and 2 people).
What’s not included
Anything beyond operational handover: no deep dives into IaC, internals, no custom engineering, no in depth training, no platform deployment and management automations, or other Intellectual Property.

If during the delivery of the Standard Offboarding more time or custom work is needed, we are happy to accommodate this on a time & material basis.
Bespoke Offboarding Project
Anything beyond Standard: custom integrations, support with migration, more in-depth training, access to our internal tooling, etc. Any need can be explored.
What’s included
Starting from the template of a Standard Offboarding, we can customise it and extend it depending on your specific needs.
Some examples:
- Setup and integration of your on-call tooling and processes
- Specific Platform customisations, extensions and automations
- Access to internal Skyscrapers tooling and intellectual property for automation of platform deploys and management
- Training people to have the right skills to manage the Platforms
- Building a Platform team including hiring and training
- Training on specific technologies Kubernetes, Terragrunt/OpenTofu, AWS, etc
- Migration support to another cloud platform

Offboarding Service Terms
The following terms extend on the standard Skyscrapers Terms & Conditions:
- Definitions
- “Customer Platform Information”: the minimally required documentation, scripts, infrastructure-as-code and Customer-specific configurations, all based on the Skyscrapers best-practices that form the Skyscrapers Platform Blueprint, that together can be used to rebuild and operate the Customer’s Platform as it exists at the relevant point in time in the Customer’s cloud account(s), including any customisations it may have.
- “Customer Workload” a workload is a service or application that is developed and operated by the Customer and deployed to the Platform.
- “Offboarding Project”: a well scoped, mutually agreed on project to help the Customer migrate away from Skyscrapers. This may include knowledge transfer, Customer Platform Information and anything else Parties mutually agree to.
- “Permitted Purposes” means the usage within the constraints of the Customer’s and its Affiliates’ respective internal business purposes.
- “Platform”: a deployment of a Skyscrapers Platform Blueprint into the cloud account of the Customer, deployed and managed by Skyscrapers as part of the Services
- “Skyscrapers Platform Blueprint” The blueprint architecture, consisting of years of best-practices, pre-integrated open-source technologies and cloud services, developed and evolved by Skyscrapers that enables Customer Workloads to operate.
- Parties will in good faith attempt to define the scope and conditions of such an Onboarding Project to meet both Parties needs, which could be migration of the Services to either in-house capacity or to an alternative service provider.
- An Offboarding Project will be planned and executed upon the acceptance of the costs as quoted by Skyscrapers for such a project.
- As part of a Standard and Bespoke Offboarding Project, upon hand-over of the Customer Platform Information and payment of all amounts due, including those for the Offboarding Project, Skyscrapers grants to the Customer an irrevocable, perpetual, worldwide, unrestricted, royalty-free licence to use (and to create and own derivative works from) the Customer Platform Information for Permitted Purposes.
- If Customer Platform Information is handed over, Skyscrapers warrants and confirms that: (a) the Customer Platform Information will be accurate and complete and sufficient to enable a reasonably skilled person to rebuild, operate and maintain the Customer’s Platform as is existed as at the date of termination without the need for any further rights, permissions or licences from Skyscrapers; and (b) all other components, software and services which were used for the Customer’s Platform under the Agreement were all either deployed as part of the Customer’s cloud environment (under the Customer’s contract with its cloud environment provider) or are generally available open source and’ in either case, will continue to be available to the Customer on the same basis after the Agreement without any separate licence from or additional payment to Skyscrapers;
- Once Customer Platform Information has been handed over, Skyscrapers has no further obligations or responsibilities towards the Customer’s Platform(s) as it may exist under any previous Agreement between Parties.
- To help Customer may request additional Services to support them in the transition away from Skyscrapers for which Skyscrapers may charge additional fees.
